SENTI-FI TERMS OF USE

1. AGREEMENT
These Terms of Use ("Terms") govern your access to and use of the Senti-Fi platform and all related services ("Service"). By accessing or using the Service, you agree to these Terms and our Privacy Policy. If you are using the Service on behalf of a dealership, you represent that you have authority to bind that organization to these Terms.
2. WHAT SENTI-FI DOES
Senti-Fi is a B2B SaaS platform for licensed automotive dealerships. Senti-Fi is a subsidiary of Senti. The Service enables dealerships to:
- Create and send SMS and email marketing campaigns to their customers
- Build AI-assisted audience segments based on vehicle ownership and history
- Generate AI-assisted campaign copy and F&I product recommendations
- Manage inbound customer message replies
- Track campaign delivery, open rates, and performance
- Access F&I product catalogs
3. ELIGIBILITY AND ACCOUNT REGISTRATION
The Service is available to authorized employees and agents of licensed automotive dealerships. You must be at least 18 years old and have legal authority to enter into these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately of any unauthorized access at [email protected].
4. ACCEPTABLE USE
You agree to use the Service only for lawful purposes. You agree NOT to:
- Send SMS or email messages to any recipient who has not provided valid prior express written consent as required by the TCPA, CAN-SPAM Act, or applicable law
- Send unsolicited, deceptive, misleading, or spam communications
- Upload contact lists containing opted-out or suppressed numbers
- Contact individuals on the National Do Not Call Registry without a valid exemption
- Circumvent or attempt to bypass any opt-out or suppression mechanism
- Send content that is unlawful, harassing, threatening, defamatory, or discriminatory
- Send regulated financial solicitations without required legal disclosures
- Send high-risk content prohibited by carriers (adult content, gambling, cannabis, firearms, etc.)
- Reverse engineer, decompile, or attempt to extract source code from the Service
- Resell, sublicense, or make the Service available to unauthorized third parties
- Interfere with or disrupt the integrity or performance of the Service
- Use the Service in any manner that violates Plivo's or any carrier's acceptable use policies
5. SMS MESSAGING COMPLIANCE
Dealerships using the SMS features of the Service are solely responsible for ensuring all campaigns comply with:
- The Telephone Consumer Protection Act (TCPA)
- The CAN-SPAM Act
- All applicable state telemarketing and privacy laws
- CTIA Messaging Principles and Best Practices
- Applicable wireless carrier guidelines and policies
Dealerships must:
- Obtain and maintain documented prior express written consent for each contact before initiating any SMS campaign
- Honor opt-out requests immediately and permanently
- Not reinstate opted-out contacts without new, independent consent
- Ensure message content accurately represents the dealership and its offers
- Include clear identification of the sending dealership in all messages
Senti-Fi processes opt-out replies (STOP, STOPALL, UNSUBSCRIBE, CANCEL, END, QUIT) automatically and maintains suppression lists indefinitely.
Senti-Fi reserves the right to suspend or terminate SMS access for any dealership found to be in violation of messaging compliance requirements, carrier policies, or these Terms.
5a. MOBILE DATA RESTRICTIONS
Users acknowledge and agree that mobile opt-in data, consent records, and phone numbers obtained through the Services may not be sold, shared, transferred, or used for third-party marketing purposes.
Senti-Fi does not sell, rent, share, or otherwise disclose mobile phone numbers, SMS consent records, or opt-in data to any third party or affiliate for marketing or promotional purposes. This information is used solely to deliver the messaging Services requested by the dealership and to comply with applicable carrier and legal requirements.
6. DATA AND CUSTOMER INFORMATION
Dealerships retain ownership of customer data they upload or generate through the Service. By providing customer data to Senti-Fi, you grant us a limited license to process that data solely to deliver the Service to you.
You represent and warrant that:
- You have all necessary rights, permissions, and consents to provide customer data to Senti-Fi
- You have obtained valid prior express written consent from each contact before sending them SMS messages through the platform
- Your use of customer data complies with all applicable privacy laws
7. AI-GENERATED CONTENT
The Service includes AI-powered tools that generate campaign copy, audience segments, and F&I product recommendations. AI-generated content is provided as a starting point and suggestion only. You are solely responsible for reviewing, editing, and approving all content before it is sent to customers. Senti-Fi makes no warranty that AI-generated content is accurate, complete, legally compliant, or suitable for your specific use case.
8. INTELLECTUAL PROPERTY
The Service and all underlying technology, software, designs, and content (excluding customer data) are owned by or licensed to Senti-Fi and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.
9. PAYMENT AND BILLING
Access to the Service is subject to applicable subscription fees as described in your dealership's service agreement. All fees are non-refundable except as expressly stated. We reserve the right to suspend access for accounts with unpaid balances after reasonable notice.
10. DISCLAIMERS
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
11. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SENTI-FI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS WILL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
12. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Senti-Fi and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising from:
(a) Your use of the Service (b) Your violation of these Terms (c) Your violation of any law or the rights of any third party (d) Any customer communications you send through the Service, including claims arising under the TCPA, CAN-SPAM, or any other messaging regulation (e) Your failure to obtain valid consent from your customers
13. TERMINATION
We may suspend or terminate your access to the Service at any time for violation of these Terms, non-payment, carrier-mandated action, or any conduct harmful to the Service or third parties. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately.
14. GOVERNING LAW
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law provisions. Disputes will be resolved in state or federal courts in Delaware. You consent to personal jurisdiction in those courts.
15. CHANGES TO THESE TERMS
We may revise these Terms from time to time. When we make material changes, we will update the effective date and notify dealership account administrators. Continued use of the Service after the effective date constitutes acceptance.
